Terms of Service

1. Acceptance of Terms

By accessing or using BuildBridge (“the Service”), operated by BuildBridge Inc. (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

These terms apply to all users, including project managers, team members, and customers who interact with estimates, contracts, invoices, or other documents through the platform.

2. Service Description

BuildBridge is a construction management platform designed for home improvement professionals. The Service provides tools for:

• Creating and sending estimates, contracts, and invoices
• Project scheduling, task management, and daily logs
• Client communication and document e-signatures
• Material selection and procurement tracking
• Integration with third-party services (e.g., QuickBooks Online)

3. Account Terms

3.1 Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. The Service is not intended for use by individuals under the age of 18.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at contact@buildbridgeapp.com of any unauthorized access.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your profile and company details up to date.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to access accounts, systems, or networks without authorization
• Transmit malware, viruses, or other harmful code
• Use the Service to send unsolicited communications (spam)
• Resell, sublicense, or redistribute access to the Service without permission
• Use automated scripts, bots, or crawlers to access the Service without prior written consent
• Interfere with the integrity or performance of the Service

5. Third-Party Integrations

BuildBridge integrates with third-party services, including but not limited to:

• QuickBooks Online (Intuit) — for syncing invoices, estimates, customers, items, and payment data to your accounting system
• Stripe — for payment processing (future)
• Google AI / Gemini — for AI-powered features such as estimate generation and daily log creation

When you connect a third-party service, you authorize BuildBridge to exchange data with that service on your behalf, in accordance with our Privacy Policy. Third-party services are governed by their own terms and privacy policies, which we encourage you to review.

We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party integrations is at your own discretion and subject to the applicable third-party terms.

6. Billing & Subscriptions

6.1 Pricing

BuildBridge offers subscription plans billed monthly or annually. Current pricing is displayed on our website and within the platform. We reserve the right to adjust pricing with at least 30 days’ notice before your next billing cycle.

6.2 Payment

Subscription fees are collected through our payment processor. You authorize us to charge your chosen payment method on a recurring basis. Failure to process payment may result in service suspension or downgrade.

6.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be notified via email before renewal.

6.4 Cancellation

You may cancel your subscription at any time from Settings → Account. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

6.5 Refunds

Subscription fees are generally non-refundable. Refund requests for extenuating circumstances may be submitted to contact@buildbridgeapp.com.

7. Intellectual Property

7.1 Our Property

The Service, including its design, software, features, logos, and documentation, is owned by BuildBridge Inc. and protected by intellectual property laws. Nothing in these terms grants you ownership rights to the Service.

7.2 Your Content

You retain ownership of all data, documents, and content you upload to BuildBridge (“Your Content”). By using the Service, you grant us a limited, non-exclusive license to host, display, and process Your Content solely to provide the Service to you.

7.3 Feedback

If you provide suggestions, feature requests, or other feedback regarding the Service, we may use such feedback without any obligation to you.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Your use of the Service is at your sole risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDBRIDGE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability arising from your use of the Service shall not exceed the greater of (a) the amounts you paid to BuildBridge in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless BuildBridge Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your Content or any data you submit through the Service

11. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be deactivated
• We will retain your data for 30 days to allow for export, after which it may be permanently deleted
• Connected third-party integrations (e.g., QuickBooks) will be disconnected
• Provisions that by their nature should survive termination (including liability, indemnification, and governing law) shall survive

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in New Jersey.

You agree that any proceedings will be conducted on an individual basis and not as a class action or representative proceeding.

13. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated terms.
